These Terms govern your use of quickcode.store and any services provided by QuickCode Solutions LTD (company number 16604807), registered in England & Wales. By using our site or engaging us, you agree to these Terms.
1. Services
We provide web engineering, AI automation, and CRM integration services. The scope, deliverables, timeline and price for any engagement will be defined in a separate written proposal or statement of work ("SOW"), which prevails over these Terms in case of conflict.
2. Fees and payment
- Fees are stated in the SOW and exclude VAT unless noted.
- Invoices are due within 14 days unless otherwise agreed.
- Late payments may incur statutory interest under the Late Payment of Commercial Debts Act.
3. Client responsibilities
You agree to provide timely access, content, and decisions needed for us to deliver the work. Delays caused by missing input may shift timelines and costs.
4. Intellectual property
Upon full payment, you receive ownership of the custom deliverables produced for you. We retain rights to our pre-existing tools, libraries, and know-how, and may reuse generic components across clients.
5. Confidentiality
Both parties will keep confidential information shared during an engagement private and use it only to perform the agreement.
6. Warranties and liability
We deliver services with reasonable skill and care. To the maximum extent permitted by law, our total liability for any claim is limited to the fees paid for the engagement giving rise to the claim. We exclude liability for indirect, consequential, or incidental damages.
7. Termination
Either party may terminate an engagement on 14 days' written notice, or immediately for material breach. You remain liable for work performed up to termination.
8. Governing law
These Terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction over any dispute.
